These Official Rules govern every contest unless a contest’s details page states otherwise.

1. PROMOTION OVERVIEW

The “BIKE SWEEPS” Sweepstakes ("Promotion") is sponsored by THE SW CYCLES TRUST, a common law Trust ("Sponsor"), located at P.O. Box 1234 Main St. Fort Myers, Fl 33905. The Promotion offers consumers the opportunity to purchase branded merchandise and receive sweepstakes entries toward winning a customized motorcycle ("Prize"), while also providing a no-purchase alternative method of entry. The Promotion is registered and bonded with the Florida Department of Agriculture and Consumer Services pursuant to Florida Statute § 849.094.

2. PROMOTION PERIOD

Each contest has its own Promotion Period. The start time, end time, mail-in postmark deadline, and mail-in receipt deadline for each contest are listed under Live Promotions for that contest (See specific contest details). All times are Eastern Time ("ET") unless a contest states otherwise. The drawing will be conducted within thirty (30) days following the close of the Promotion Period. Sponsor's computer or designated timekeeping device is the official clock for this Promotion.

3. ELIGIBILITY

The Promotion is open to legal residents of the fifty (50) United States and the District of Columbia who are eighteen (18) years of age or older at the time of entry, EXCEPT that residents of New York and Rhode Island are not eligible to enter or win. Void where prohibited or restricted by law.

The following persons are not eligible to participate: (a) employees, officers, directors, agents, and representatives of Sponsor, its affiliates, subsidiaries, advertising and promotion agencies, prize suppliers, and fulfillment vendors; (b) content creators receiving commission compensation under the Promotion; and (c) immediate family members (spouse, parent, child, sibling, and their respective spouses) and household members of any of the foregoing, whether or not related.

4. HOW TO ENTER

There are two (2) methods of entry. Regardless of entry method, all entries must be received during the Promotion Period. Entries received outside the Promotion Period are void.

METHOD 1 — PURCHASE ENTRY (ONLINE):

Visit bikestakes.com and purchase one (1) or more items of branded merchandise ("Merchandise") during the Promotion Period. Each one dollar ($1.00) of the pre-tax, pre-shipping purchase price paid equals one (1) sweepstakes entry. For example, purchase of one (1) branded shirt at $38.00 yields thirty-eight (38) entries; purchase of two (2) shirts at $76.00 yields seventy-six (76) entries. Entries are automatically recorded upon completion of a valid purchase transaction. Limit: entries per transaction are determined solely by the dollar amount of that transaction. There is no limit on the number of purchase transactions per entrant during the Promotion Period, subject to merchandise availability. Sponsor may, at its sole discretion, offer limited-time promotional bundle purchase opportunities during the Promotion Period in which qualifying purchases yield up to two (2) entries per dollar spent. All promotional bundle offers will be clearly disclosed at the time of purchase and are subject to these Official Rules.

METHOD 2 — FREE MAIL-IN ENTRY (AMOE):

NO PURCHASE NECESSARY. To enter without purchase, handprint your first and last name, complete mailing address, date of birth, and daytime phone number on a plain 3" x 5" postcard and mail it to the AMOE address listed for that contest under Live Promotions (See specific contest details). Use the contest name as the first address line (for example, "BIKE SWEEPS Sweepstakes Entry").

One (1) entry will be awarded per outer mailing envelope received. There is no limit on the number of mail-in entries per entrant during the Promotion Period, provided each entry is mailed in a separate outer envelope. Typed, photocopied, mechanically reproduced, or computer-generated entries are not eligible. Entries must be handprinted. Sponsor is not responsible for lost, late, misdirected, damaged, mutilated, illegible, incomplete, or postage-due mail. All mail-in entries must be postmarked no later than See specific contest details and received no later than See specific contest details.

Mail-in entries and purchase entries are entered into the same pool and have equal weight. One (1) mail-in entry equals one (1) purchase entry in the drawing.

5. ENTRY CONDITIONS AND LIMITATIONS

Entries generated by script, macro, bot, or any other automated means are void. Entries that are incomplete, corrupted, illegible, or that do not conform to these Official Rules are void. Sponsor reserves the right to disqualify any entrant who tampers with the entry process or the operation of the Promotion. In the event of a dispute regarding online entries, the entry will be deemed submitted by the authorized account holder of the email address submitted at the time of purchase. All entries become the property of Sponsor and will not be returned.

6. PRIZE

Grand Prize (1): One (1) customized motorcycle as described and displayed during the Promotion Period. Approximate Retail Value ("ARV"): $38,000.00.

Prize Conditions & Cash Option: The Prize is awarded strictly on an "AS IS" and "WHERE IS" basis, WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO ANY EXPRESS OR IMPLIED WARRANTIES OF MERCHANTABILITY, VALUE, FITNESS FOR A PARTICULAR PURPOSE, MECHANICAL RELIABILITY, ROADWORTHINESS, OR SAFETY. Except as expressly set forth herein, no cash equivalent, substitution, or transfer of the Prize is permitted by the Winner.

Notwithstanding the foregoing, in the event the Promotion fails to reach Sponsor's minimum performance threshold of Fifty Thousand Dollars ($50,000.00) in Net Revenue during the Promotion Period, Sponsor reserves the sole and absolute discretion to substitute the Grand Prize with an alternative cash prize equal to forty one percent (41%) of total Net Revenue generated directly from the Promotion. For purposes of these Official Rules, "Net Revenue" is defined strictly as total gross merchandise revenue received by Sponsor during the Promotion Period less direct merchandise cost of goods sold (COGS).

Sponsor further reserves the right to substitute a prize of equal or greater value if the advertised Grand Prize becomes unavailable due to circumstances beyond Sponsor’s reasonable control.

Winner Responsibilities: Winner is solely responsible for all applicable federal, state, and local taxes, as well as registration, title, licensing, insurance, transportation, and any other costs or fees associated with the acceptance, transfer, and use of the Prize. Sponsor will issue an IRS Form 1099-MISC to the Winner for the fair market value of the awarded Prize (or cash equivalent) as required by law. Odds of winning depend on the total number of eligible entries received during the Promotion Period.

7. PRIZE TRUST

The Prize Motorcycle shall be held in trust throughout the Promotion Period and shall not be encumbered, transferred, or disposed of prior to the drawing and verified award to the winner. The Prize shall be released from trust upon verification of winner eligibility and completion of all required winner documentation.

8. DRAWING AND WINNER SELECTION

One (1) winner will be selected in a random drawing from all eligible entries received during the Promotion Period. The drawing will be conducted by Sponsor or its designated independent administrator within thirty (30) days following the close of the Promotion Period. The drawing is subject to audit. Decisions of the Sponsor are final and binding in all matters relating to this Promotion.

9. WINNER NOTIFICATION AND VERIFICATION

The potential winner will be notified by telephone, email, or mail at the time of drawing. The potential winner must respond within three (3) business days of notification or the prize may be forfeited and an alternate winner selected. As a condition of winning, the potential winner must: (a) execute and return an Affidavit of Eligibility, Liability Release, and (where permitted) Publicity Release within the required timeframe; (b) provide proof of identity and age; and (c) provide a valid government-issued photo ID. If the potential winner fails to comply with any of these conditions, is found to be ineligible, or if prize notification is returned as undeliverable, the prize will be forfeited and an alternate winner selected. Up to three (3) alternate winners may be selected in this manner.

10. CONTENT CREATOR PARTICIPATION

Authorized content creators participate in the Promotion as independent marketing affiliates of Sponsor and receive twenty percent (20%) of gross merchandise sales revenue generated through their assigned referral links or tracking codes. Content creators are not sponsors of this Promotion and are not responsible for prize fulfillment. Content creators and their immediate family members and household members are not eligible to enter or win. All content creator promotional materials must clearly and conspicuously disclose the material connection between the content creator and Sponsor in compliance with FTC guidelines (16 C.F.R. Part 255).

11. GENERAL CONDITIONS

Sponsor reserves the right to cancel, suspend, or modify the Promotion if fraud, technical failures, or any other factor beyond Sponsor's reasonable control impairs the integrity or proper functioning of the Promotion, as determined by Sponsor in its sole discretion. In such event, Sponsor reserves the right to award prizes from among eligible entries received prior to the cancellation or suspension. Sponsor's failure to enforce any provision of these Official Rules shall not constitute a waiver of that provision. If any provision of these Official Rules is found to be unenforceable, that provision shall be modified to the minimum extent necessary to make it enforceable, and the remaining provisions shall remain in full force.

12. RELEASE AND LIMITATIONS OF LIABILITY

By entering, each entrant agrees to release and hold harmless Sponsor, its affiliates, subsidiaries, advertising and promotion agencies, and each of their respective officers, directors, employees, agents, and representatives (collectively, "Released Parties") from and against any and all claims, damages, losses, liability, costs, and expenses arising from participation in this Promotion or the acceptance, use, or misuse of any prize. Released Parties are not responsible for: (a) lost, late, misdirected, or undeliverable entries or notifications; (b) technical failures of any kind; (c) unauthorized human intervention in any part of the Promotion; (d) typographical, printing, or other errors in these Official Rules or Promotion materials; or (e) any injury or damage to persons or property that may be caused, directly or indirectly, from participation in the Promotion or from the receipt or use of the Prize.

13. DISPUTES AND GOVERNING LAW

These Official Rules and the Promotion are governed by and construed in accordance with the laws of the State of Florida, without regard to conflict of law principles. All disputes arising out of or relating to this Promotion shall be resolved exclusively in the state or federal courts located in LEE County, Florida, and each entrant consents to jurisdiction and venue in such courts. TO THE EXTENT PERMITTED BY APPLICABLE LAW, ANY CLAIMS, JUDGMENTS, AND AWARDS SHALL BE LIMITED TO ACTUAL OUT-OF-POCKET COSTS INCURRED AND SHALL NOT INCLUDE ATTORNEYS' FEES. ENTRANT WAIVES ANY RIGHT TO CLAIM PUNITIVE, INCIDENTAL, SPECIAL, OR CONSEQUENTIAL DAMAGES.

14. PUBLICITY

Except where prohibited by law, acceptance of a prize constitutes winner's consent to Sponsor's use of winner's name, likeness, photograph, voice, biographical information, and statements for advertising, trade, and promotional purposes in any media, worldwide, without further notice, compensation, or consent.

15. PRIVACY

Personal information collected in connection with this Promotion will be used for Promotion administration and prize fulfillment purposes, and in accordance with Sponsor's Privacy Policy available at bikestakes.com/privacy. By entering, entrants consent to the collection and use of their personal information as described herein.

16. FLORIDA REGULATORY COMPLIANCE

This Promotion is registered with the Florida Department of Agriculture and Consumer Services pursuant to Florida Statute § 849.094. A surety bond in the amount of the total prize ARV has been secured. A list of winners will be filed with FDACS within sixty (60) days following the conclusion of the Promotion. 17. RESTRICTIONS AND VOID JURISDICTIONS

This Promotion is void in New York, Rhode Island, and wherever prohibited, taxed, or restricted by law. Residents of New York and Rhode Island are not eligible to enter or win.

18. WINNER'S LIST

For the name of the winner (available after See specific contest details), send a self-addressed, stamped envelope to THE SW CYCLES TRUST at the mailing address listed for that contest under Live Promotions (See specific contest details), Attn: BIKE SWEEPS Winner. Winner requests must be received within ninety (90) days of the conclusion of the Promotion Period.

19. OFFICIAL RULES

These Official Rules are the complete and final rules governing the Promotion. These Official Rules may not be amended after the surety bond has been obtained. In the event of any conflict between these Official Rules and any promotional materials or advertising, these Official Rules shall control.
